A license agreement for Otlob Tabib (Request a physician) Program, made BY AND BETWEEN Innovation Technology Company and the physician who desires to contribute and register in that application:
Important: read the following points carefully before contributing in this program and registering in it:
THIS PROGRAM LICENSE AGREEMENT ' HEREINAFTER REFERRED TO AS THE AGREEMENT' IS CONCLUDED BY AND BETWEEN:
The physician (who is authorized to conduct medical profession by the Ministry of Health and registered in the doctors syndicate) and Innovation Technology Company, referred to as Innovation Technology, this agreement permits the physician to register in the program mentioned in paragraph no 1 below, a program that may be downloaded and operated online, the doctor may, after registry, provide medical services upon requests sent by users and subscribers in the program that enables the user to call one of the registered doctors to request medical services from the nearest doctor as determined by the GPS system in return for paid fees, this agreement is related to the rights of the final user and is not a sale agreement and still owned by Innovation Technology, the company that owns the program.
This agreement shall be read carefully before registration in the program by clicking the button "OK" during registration in the program, the doctor accepts these terms and conditions, if the doctor did not accept all the terms and conditions he shall click on "refuse" or "don’t agree" and to cancel the registration, the doctor also agrees on that registration and subscription is an acknowledgment from him that he read this agreement and understood it, and accepted the terms and conditions.
Otlob Tabib is an electronic application for smartphones affiliated to Innovation Technology Co, as the doctor may, after registering his personal account, provide the medical service for users in the declared areas of specialization. After registering in the application you will receive the requests of the closer patients to your defined location according to the GPS, once you accept that request you will be bound to move to the patient location by yourself to provide the declared medical services.
You shall be obliged to all terms and conditions as mentioned in this agreement and upon the agreement made between you 1and the company and any other policies mentioned and all laws and regulations and applicable laws when you use this application, upon these terms and conditions, you grant a limited, cancellable and non-inclusive right with its content in the normal use context, you are not allowed to use Intellectual Property rights of any third party but within the legally allowed frame. Otlob Tabib will keep all its intellectual property rights and you have no rights to have any of them by virtue of these terms and conditions or other conditions. You will not have the right to use, copy, display or establish any works derived from parts, materials and licenses of the content available in the application but with the necessary ratio to use the application for the defined purpose and you are not allowed to try to reflect any engineering procedure for any techniques used in providing services. Otlob Tabib urges you to call us in case if you knew any attitude violating these conditions and we keep the right to answer these calls but are not bound to do so.
3. independency
You are an independent physician and not an agent or employee at the company, and thereupon you undertake that you will not act like an agent of the company and you will never put yourself as the agent or the employee, you also may not join any agreements that my bind the company with any legal obligations or otherwise.
And this could lead to the following:
4 - Required Capacity
You have to be a licensed practicing physician who is registered in the Doctors syndicate to give a valid license until registering in the application after signing the agreement to provide medical services for users "patients" and thereupon; you are responsible for having the necessary licenses to provide medical services.
Once you register in the application, you acknowledge and guarantee that your have the right, validity and necessary capacity to enter into usage conditions and undertake all conditions and mentioned provisions.
5. doctor registration and password
5-1 registration
After signing the agreement with the company you have to register your entry to the application and make the account of "the Doctor" through electronic registration and your account will allow you to operate the application by receiving requests. Through your registration, you must support Otlob Tabib with precise and full information as stated in the registration sample, you have to inform Otlob Tabib with any change in any of these information if you failed to update such information, you will not be able to provide medical services for patients through registering as a doctor in Otlob Tabib, so you accept using your email to send notifications related to the service, including any notifications required by law and service providing. Otlob Tabib may send you any change in the service.
5-2 Password
During registration, you will be asked to set a password and shall maintain the password confidentiality as you will be fully responsible for any use of such password and the account including without limitation any unauthorized use by the third party and you shall immediately notify the doctor in case if any unauthorized use of your account or any password or access by any third party/ you shall notify Otlob Tabib if you knew or felt that there is unauthorized access to your personal account in addition, you have to notify Otlob Tabib if you felt that the application was hacked.
The frequent access of your password will lead to temporary suspension of your account that will require you to contact us to have it back, the company also works to take all necessary protection methods but we doesn’t guarantee preventing any penetration.
You are the only responsible one to protect the password and bear all responsibility for any activity in your account whether this activity was authorized or unauthorized.
Under any condition, you have not to respond to the request of your password especially if the request was made by any person who claims that he is an employee for Otlob Tabib, as the employees of Otlob Tabib will never request your password, you must notify Otlob Tabib in case if you received such request.
6.confidentiality
Otlob Tabib and all affiliate companies consider the privacy and confidentiality of your information as one of the most important elements in our relationship with you. As we bear our responsibility to maintain the confidentiality of this information according to the law of maintaining the privacy and security of information, in case if any breach that may harm the security and confidentiality of the information you will be immediately notified, we will never use or share any of your confidential information but as follows:
You acknowledge that the agreement made between you and the company established a confidential relationship between both of you and upon this relationship the company may disclose information related to its intellectual property and trade value, these information are one of the company's confidential trade information, you shall maintain these confidential information, and you have not to disclose them to others and not to use them for another purpose but to provide the service according to this agreement, you also shall maintain all contents whether written or unwritten that are provided by the company, such information you shall never disclose in order not to cause damage to the company, any breach to such text grants the company the right to take all necessary actions to retrieve the rights without any prejudice to any stipulated compensations by the law.
7. account cancelation
You accept that your account can be canceled upon your request or upon Otlob Tabib appreciation and all affiliate companies in case if you did not comply with these terms and conditions.
8. patients information
The information of patients exist in this application are prepared to provide the medical service only so you shall never disclose any of these information but only in the frame of provided services and the application is not responsible for any false information provided by patients.
10 intellectual property rights
You agree on that nothing contained herein gives you the right to use any of the intellectual property rights or anything attached to the application in goodwill and you accept that you acknowledge the validity and ownership of the company and any of its branches, affiliate companies or groups of companies as the case maybe, for the intellectual property rights and you shall never dispute in its validity or ownership.
You also undertake not to use the name of the company or the trade name or the address or any designs includes the names, personalities or artistic works or trademarks from the company or similar to any advertisements, promotions or propaganda.
You agree that the company has the right to use the information provided by you and articles you publish on the site of the company for promotion and advertisement.
11.Amendments
We may update or change our services or stated provisions in this conditions from time to time, we also recommend to revise these conditions regularly and these amendments will have immediate effect.
Therefore you acknowledge that your continuous use of our services after update or changing these conditions is a final acceptance of these conditions except if such change is considered as a main effect on these services.
The newest version of these conditions and provisions prevails and replaces all previous issuances.
12. fees and payment method
The doctor undertakes to pay the value of the company as per the agreement concluded between both at the end of each month whether by depositing it in the account of the company or through paying it to the representative of the company, and to simplify the issue to the second party in transferring these dues to the account of the first party he may has the right to use the period given to him which is transfer during the first week of the second month, in case of nonpayment the second party will be automatically excluded from the application and terminating the contract without a need for notification or warning, and the company has the right to legally request its rights if deemed necessary.
13. account termination
We may cancel or suspend the account without a previous notification if there is any breach of these terms and conditions or to the agreement signed with the company and we may also cancel or suspend your account for any other reason, including not to use it for a long time but we will try to notify you before such cancelation or suspension =, Innovation Technology will not be responsible before you or any third party for this termination or cancellation.
14. Liability
Otlob Tabib will not be responsible for any mistakes or inaccuracy or losing information and is not liable for any hacking to it as Otlob Tabib is not responsible before any person for any damages, compensations, losses or damages (directly or indirectly) or for any decision made according to the provided service.
15. force majeure
Otlob Tabib is not bound to such terms and conditions in case of unexpected events as a result of negative change in laws or damages or general riots, fires, floods, hurricanes, storms, extraordinary climates, wars, attacks, revolutions, terrorism or any out of control conditions.
16. disputes and applicable law:
The relationship between the doctor and the company is regulated by the agreements concluded with the doctor and applicable laws in the Arab Republic of Egypt, any dispute arises from this relationship shall be amicably resolved according to the agreements and in case if this couldn’t be realized, the competency will be for Giza court of first instance and Agouza partial court respectively.
17. electronic signature and notifications:
The agreement to use this application is an electronic signature on these terms and conditions that include privacy policy in addition you accept electronic signature.
These terms and conditions are integral part of the agreement concluded between the doctor and the company.
